These Terms & Conditions (“Terms”) govern your access to and use of the website operated by Spicy Corp. (“Spicy Corp,” “we,” “us,” or “our”) and your purchase of any products or services from us. By accessing this site or placing an order, you agree to these Terms. If you do not agree, do not use the site or place an order.

1. Eligibility & Who May Purchase

You must be at least 18 years old and able to form a legally binding contract to place an order. By ordering, you represent that you meet these requirements and that all information you provide is accurate and complete.

Certain products are intended for use by adults and, in some cases, for professional, government, or institutional customers. Where a product page states eligibility, certification, or licensing requirements, you are responsible for confirming you meet them before purchasing. We may refuse, cancel, or limit any order at our discretion, including where we reasonably believe a sale would violate law or these Terms.

2. Products & Descriptions

We make reasonable efforts to describe our products accurately, including specifications, capabilities, and images. We do not warrant that descriptions, colors, packaging, or other content are error-free, complete, or current. Product images are for illustration and may differ from the item shipped. We may change or discontinue products at any time without notice.

3. Pricing & Availability

All prices are listed in U.S. dollars unless stated otherwise and are exclusive of applicable taxes and shipping unless noted. Prices and availability are subject to change without notice. In the event of a pricing error, we reserve the right to cancel or refuse any order placed at the incorrect price, even after an order confirmation has been sent. If we cancel an order for which you have already been charged, we will issue a refund.

4. Orders, Payment & Acceptance

Your submission of an order is an offer to purchase. An order confirmation email acknowledges receipt of your order but does not constitute our acceptance. A contract is formed only when we ship the product or otherwise confirm acceptance in writing. We may decline or cancel an order for reasons including suspected fraud, payment failure, stock unavailability, pricing errors, or compliance concerns (see Section 7).

You authorize us and our payment processors to charge your selected payment method for the total order amount, including taxes and shipping. You represent that you are authorized to use the payment method provided.

5. Shipping & Delivery

Shipping terms, costs, processing times, and free-shipping thresholds are described on our Shipping Rates & Policies page, which is incorporated into these Terms. Title and risk of loss pass to you upon our delivery of the product to the carrier. Delivery estimates are not guaranteed.

6. Returns, Replacements & Warranty

Returns and replacements are governed by our Refund & Returns Policy, which is incorporated into these Terms. Unless a separate written warranty is provided with a product, products are sold subject to the Disclaimer of Warranties in Section 8. Any manufacturer warranty that accompanies a product is provided by that manufacturer, not by Spicy Corp.

7. Export Control & Compliance — Read Carefully

Some products we sell — including hardened communications devices, signals-collection equipment, and related hardware, software, and technical data — may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR, 15 C.F.R. §§ 730–774) administered by the U.S. Department of Commerce, and, where applicable, the International Traffic in Arms Regulations (ITAR, 22 C.F.R. §§ 120–130) administered by the U.S. Department of State, as well as sanctions programs administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC).

By purchasing from us, you agree that you will:

• Not export, re-export, transfer, or divert any product, software, or technical data obtained from us, directly or indirectly, in violation of U.S. export control or sanctions laws;
• Not sell, ship, or provide any product to any country, entity, or individual subject to U.S. embargo or sanctions, or listed on any U.S. government restricted-party list (including the Denied Persons List, Entity List, Specially Designated Nationals (SDN) List, or Debarred List);
• Not use any product for any prohibited end-use, including in connection with nuclear, chemical, or biological weapons, missile technology, or unauthorized intelligence, surveillance, or military end-uses where such use requires a license you do not hold;
• Obtain, at your own expense, any export, re-export, or import license or authorization required for your transaction or intended use; and
• Provide accurate end-user and end-use information upon request.

We may require additional documentation, refuse or cancel any order, withhold shipment, or report transactions to the relevant authorities where we reasonably believe a sale or use would violate these laws. You are solely responsible for compliance with all import, export, and use laws applicable to your jurisdiction and intended use. Export-controlled or restricted items may not be available for international shipment. This section is a material term of these Terms; violation is grounds for immediate cancellation and may carry civil and criminal penalties under U.S. law.

8. Disclaimer of Warranties

EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY PROVIDED WITH A SPECIFIC PRODUCT, ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that any product will meet your requirements, operate without interruption, be secure against interception or compromise, or achieve any particular result. You are responsible for evaluating the suitability and legality of any product for your intended use. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SPICY CORP OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, ANY PRODUCT, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO A PRODUCT OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

10. Acceptable Use & Prohibited Conduct

You agree to use the site and any products only for lawful purposes and in compliance with all applicable laws. You may not use any product to violate the privacy, civil, or other rights of any person; to conduct unlawful surveillance, interception, or signals collection; to access systems or communications without authorization; or for any purpose prohibited by Section 7. You are solely responsible for ensuring that your acquisition and use of any product is lawful in your jurisdiction. Where law requires consent, a warrant, a license, or professional authorization for a given use, obtaining it is your responsibility.

You also agree not to: misuse the site (e.g., introduce malware, attempt to gain unauthorized access, scrape, or disrupt service); resell products in violation of these Terms or export law; or misrepresent your identity, eligibility, or intended use.

11. Intellectual Property

All content on this site — including text, graphics, logos, images, product designs, and software — is the property of Spicy Corp or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any content without our prior written permission. The “Spicy Corp” name and logo are our trademarks; you may not use them without permission.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or your purchases will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction there.

13. Changes to These Terms

We may update these Terms at any time by posting the revised version on this page with a new “Last updated” date. Changes apply to orders placed after the change takes effect. Your continued use of the site after changes are posted constitutes acceptance.

14. Severability & Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms, together with our Privacy Policy, Shipping Rates & Policies, and Refund & Returns Policy, constitute the entire agreement between you and Spicy Corp regarding the site and your purchases.
